Media Metro (PNG) Ltd – Advertising Contracts
The advertiser agrees and understands that these terms below form the entire advertising agreement and the terms of doing business with Media Metro (PNG) Ltd. In signing our Outdoor Advertising Agreement, the Advertiser acknowledges that they will be bound by these terms as stated above the signatory and authorisation section of the agreement. This signed authority is the Advertisers confirmation to abide by, and be subject to our terms below, along with the stated contractual terms of the signed agreement.
Payments
The advertiser may be required to pay their account in advance until they have proven a satisfactory payment history.
For advertisers on credit, they will be invoiced for the display of their advertisement at the end of each month – or part thereof. Payment is due on the 20th of the month following.
If payments are not made by the due date, Media Metro (PNG) Ltd reserves the right to remove that advertising, until any out standing amounts are fully paid.
Defaults and Penalties
If the advertiser defaults in making any payment, and if after being provided with written notice to clear the overdue payments, and then at least one further written notice not sooner than ten working days following the initial notice, Media Metro may do, and the client accepts under these terms of business, any or all of the following:
(a) Media Metro may pass on any legal costs to the advertiser, (on a solicitor and own client basis) incurred by Media Metro (PNG) Ltd as a result of the advertisers non payment, and or;
(b) Media Metro may charge the advertiser an amount of interest up to, but not more than, 9% every six months against the overdue amount that is 60 days or more outstanding. Media Metro must provide the advertiser with 7 days advance written notice by email of its intent to add this interest charge and supply the advertiser with the new amount within 3 days of it being added to the account. Media Metro will also void and remove this interest charge should the advertiser completely clear the original overdue debt (less the interest charge) within 10 working days of receipt of such interest charge being added, and or;
(c) Media Metro may at its discretion cancel one or more billboard site(s) by providing at least three working days notice, and it may remove the skin or advert from the billboard with no obligation to reinstate the advertising at any stage following the cancellation and removal of the advertising, and or;
(d) in the event of a cheque or payment being dishonoured, Media Metro may invoice a further charge of $200.00.
Media Advertising
The total weekly spend includes a non media component relating to account management, maintenance and electricity fees. Each of these fees will be at market rates and the advertiser agrees to these non media expenses, as being included in the agreed weekly rate.
Should unforeseen circumstances prevent Media Metro (PNG) Ltd from displaying your advertising at any time during the campaign, Media Metro (PNG) Ltd will reschedule the outstanding balance of the contract at the same rate, as soon as circumstances allow.
Production
The production charge covers costs associated with Media Metro (PNG) Ltd producing and/or printing and / or installing the advertising as defined on the front of this agreement in the section headed “Production and Installation Charges”.
Cancellation
The Advertiser has the right to terminate the contract with ten weeks notice in writing.
Where advertising is cancelled prior to the expiry date, any unbilled production charges shall immediately become due and payable in addition to any outstanding media charges.
Notice of cancellation can only be made in writing, on company letterhead. All cancellations will only be accepted, when made in writing.
General
This Agreement (which can only be amended in writing) constitutes the entire agreement between the parties and supersedes and replaces any written or oral communications that may have taken place prior to the signing of this Agreement.
This agreement which constitutes the entire agreement, will be binding upon the parties, their successors and assignees.
The laws of Papua New Guinea will govern our agreements.
